Share register, share ledger, certificates, officers and beneficial owners for Irish LTD and DAC companies
Record every allotment, transfer and buy-back once. The workbook keeps the register of members, the share numbers, the certificates and the filing deadlines in step – and prints the register on A4.
In many small Irish companies the statutory registers live in a binder nobody has opened since incorporation, or in the head of the founder. Then an investor arrives, a shareholder leaves or the bank asks for a certified copy of the register – and nobody is sure who holds which shares, which certificates are still valid or whether the Form B5 was ever filed.
This workbook is built for private companies limited by shares (LTD) and designated activity companies (DAC) under the Companies Act 2014. Enter each share movement once in the SHARE LEDGER: the register of members, the share numbers, the balances, the issued capital and the deadlines for the CRO, stamp duty and certificates update by themselves, and SHARE CAPITAL confirms that the register agrees with the shares in issue.
Key figures, quick links and a step-by-step guide.
Company details (CRO number, type, registered office, where the registers are kept), up to 4 share classes with nominal value, paid up, votes and authorised shares, and every deadline, rate and threshold with its legal basis, source and date checked.
60 members: type, address, date entered and ceased, holding per class, % of shares and votes, paid up, beneficial-owner flag and certificates check.
300 lines: subscriber shares, allotments, bonus issues, transfers, transmissions and buy-backs – share numbers, consideration, checks, both members' balances, Form B5 / H5, stamp duty, certificate and register-entry deadlines, next action and status.
Issued shares vs the register per class (balanced or not), nominal capital, paid up, share premium, bonus shares and buy-backs, plus a bonus issue and pro-rata offer calculator.
150 share certificates: number, member, class, shares, share numbers, ledger line, live / cancelled / lost, with checks.
Register of directors and secretaries with Form B10 due dates and officer checks, and the register of directors' and secretaries' interests with the 3-day entry deadline.
Members above the threshold picked up automatically, and the internal register of beneficial owners with RBO filing dates.
A4 landscape: register of members at any date and a member folio with every movement, share numbers, certificates and running balance.
Members, issued shares, issued share capital and overdue actions, with four charts.

It is the company's own legal record of who owns its shares. Under section 169 of the Companies Act 2014 it shows each member's name and address, the shares held (by number, if the shares are numbered) and the amount paid on them, the date the person was entered as a member and the date they ceased to be one.
Section 169 sets 28 days: after the agreement to become a member (or the registration of the company, for subscribers), and after a person ceases to be a member. The SHARE LEDGER calculates the date for every line and flags entries that have not been written up.
No. The company keeps it itself, at the registered office or another place in the State notified on Form B3. The CRO receives other filings – for example the return of allotments on Form B5 within 30 days of an allotment, and Form B10 within 14 days of a change of director or secretary – and the workbook tracks those dates.
Revenue charges stamp duty at 1% on the price, or the market value for a gift, for a transfer of shares in an Irish company. The return is filed and paid on ROS within 44 days of the transfer being signed, and no return is needed if the amount is €1,000 or less and not part of a larger transaction. The ledger estimates the duty and the due date; check revenue.ie or your accountant for reliefs and special cases.
According to rbo.gov.ie, an individual who ultimately owns or controls more than 25% of the shares or voting rights, or controls the company by other means. The workbook flags members above the threshold and keeps the internal register of beneficial owners with the date each change was filed with the RBO.
The Companies Act 2014 allows registers to be kept on a computer as long as they can be reproduced in legible form for inspection. Keep the file in a safe place with backups, and use REGISTER PRINT to produce a dated A4 copy of the register or a member's folio.

Share register, share ledger, certificates, officers and beneficial owners for Irish LTD and DAC companies · €59
A register of members template gives an Irish private company one place for its share register: who holds which shares, how many, with which numbers and since when. This share register template in Excel adds a share ledger for allotments, transfers and buy-backs, so the register of shareholders is always reconciled with the issued share capital.
Use it as a register of members and share ledger for an LTD or DAC, a shareholder register with share certificates, a register of directors and secretaries with Form B10 dates, or a simple statutory registers book with the beneficial ownership reminder – with an A4 printout, no macros and no subscription.
